Terms of Service

1. Agreement to Terms

By accessing or using TradeFXBook (“the Service”), operated by TradeFXBook (“we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. We will notify users of material changes via email or in-app notification.

2. Description of Service

TradeFXBook is a web-based trading journal and analytics platform designed for forex, commodities, indices, and other financial instrument traders. The Service provides:

• Trade journaling and logging capabilities
• Integration with MetaTrader 4 (MT4) and MetaTrader 5 (MT5) platforms via MetaAPI
• Performance analytics and trade statistics
• AI-powered trade analysis and reports
• Community features including chat, lounges, and leaderboards
• Economic calendar and market data
• Share cards and trade visualization tools

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration

To use the Service, you must create an account using a valid email address or through Google authentication. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are inactive for an extended period.

5. Subscription Plans and Payment

5.1 Free and Paid Plans

The Service offers a free tier with limited features and paid subscription plans (Pro and Elite) with additional capabilities. Details of each plan's features and pricing are available on the subscription page within the app.

5.2 Payment Processing

Payments are processed through Stripe, a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's terms of service. We do not store your full payment card details on our servers.

5.3 Billing Cycle

Paid subscriptions are billed on a recurring monthly or annual basis, depending on your selected plan. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

5.4 Refund Policy

We do not offer refunds for partial billing periods. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period. After the billing period ends, your account will revert to the free tier.

6. MetaTrader Integration

The Service connects to MetaTrader accounts through MetaAPI, a third-party service. By connecting your MetaTrader account:

• You authorize us to access your trading data (positions, history, and account summary) via MetaAPI
• You understand that connection reliability depends on your broker and MetaAPI availability
• You acknowledge that we do not execute trades or modify positions on your behalf
• You are responsible for ensuring your MetaTrader account credentials are correct

We are not responsible for any issues arising from MetaAPI service disruptions, broker connectivity problems, or data synchronization delays.

7. Not Financial Advice

The Service is a journaling and analytics tool only. Nothing provided through the Service constitutes financial advice, investment advice, trading advice, or any other form of professional advice. Specifically:

• AI-generated reports and analysis are for informational and educational purposes only
• Performance statistics and analytics do not predict future results
• Community discussions and shared content are user-generated and not endorsed by us
• Leaderboard rankings do not imply recommendation of any trading strategy

Trading forex and other financial instruments involves significant risk of loss. You should consult with a qualified financial advisor before making any trading decisions. Past performance is not indicative of future results.

8. User Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Harass, abuse, or threaten other users in community features
• Post spam, misleading content, or unsolicited advertisements
• Impersonate other users or misrepresent your identity
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools, bots, or scrapers to access the Service without permission
• Interfere with or disrupt the Service infrastructure
• Share account credentials with third parties
• Manipulate leaderboard rankings through fraudulent data

Violation of these conduct rules may result in immediate account suspension or termination without notice.

9. Intellectual Property

9.1 Our Property

The Service, including its design, features, code, analytics algorithms, AI models, and branding, is owned by TradeFXBook and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

9.2 Your Content

You retain ownership of content you create within the Service (journal entries, notes, tags). By using community features, you grant us a non-exclusive, worldwide license to display your publicly shared content (chat messages, shared trade cards) within the Service. You may delete your content at any time.

10. Settlement of Transactions and Fund Holds

Certain transactions made through specific payment methods, including but not limited to credit/debit cards, bank transfers, or other third-party payment providers, may be subject to settlement periods imposed by the respective financial institutions or service providers.

Funds credited instantly to a trading account prior to final settlement of the underlying transaction are provided at the sole discretion of FortressFX Ltd. Any such instant credit facility does not constitute confirmation of final settlement.

Where trading activity, including profits generated through leveraged instruments, is conducted using funds that remain subject to settlement, FortressFX Ltd reserves the right to place a temporary hold on the deposited amount and/or any associated profits until the transaction has been fully cleared and irrevocably settled.

FortressFX Ltd further reserves the right to reverse credits, withhold withdrawals, or restrict account activity in cases where a transaction is declined, reversed, charged back, disputed, or otherwise not successfully settled.

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal and trading data. By using the Service, you consent to the data practices described in the Privacy Policy.

12. Third-Party Services

The Service integrates with third-party services including but not limited to:

• MetaAPI – for MetaTrader account connectivity
• Clerk – for authentication and user management
• Stripe – for payment processing
• Convex – for real-time database infrastructure
• OpenAI/Anthropic – for AI-powered analysis features

We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of these services is subject to their respective terms and privacy policies.

13. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Technical issues or server outages
• Third-party service disruptions
• Force majeure events

We will make reasonable efforts to notify users of scheduled maintenance in advance.

14. Limitation of Liability

To the maximum extent permitted by law, TradeFXBook and its affiliates, officers, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities arising from your use of the Service
• Trading losses or financial decisions made based on information from the Service
• Errors or inaccuracies in trade data synchronization
• Unauthorized access to your account due to compromised credentials
• Service interruptions or data loss

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

15. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free, uninterrupted, secure, or that any defects will be corrected. We do not guarantee the accuracy, completeness, or timeliness of any data, analytics, or AI-generated content provided through the Service.

16. Indemnification

You agree to indemnify and hold harmless TradeFXBook, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your trading activities and financial decisions

17. Account Termination

You may close your account at any time through the Profile settings within the app or by contacting us at support@tradefxbook.com. Upon account deletion:

• Your personal data will be deleted in accordance with our Privacy Policy
• Your trading data, journal entries, and analytics will be permanently removed
• Active subscriptions will be cancelled (no refund for remaining billing period)
• Community content you posted may be anonymized but remain visible

We reserve the right to terminate or suspend your account at any time for violation of these Terms, with or without prior notice.

18. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
